Sales Terms and Conditions

Gerlinger Foundry and Machine Works, Inc. dba Gerlinger Steel & Supply, Co. ("Seller") and the party purchasing goods and/or materials ("Customer") hereby agree to the following Terms and Conditions of Sale:

1. Customer's Acceptance of Terms

These Terms and Conditions constitute the final and entire understanding between Seller and Customer. Customer's acceptance of Products is conditioned on acceptance of these Terms. Seller's terms supersede any conflicting or additional terms from Customer unless specifically accepted in writing by Seller. No course of dealing, pattern of conduct, or trade usage modifies these Terms.

2. Payment Terms

Payment is due per the terms stated on Seller's invoice. Accounts past due are subject to a finance charge of 1.5% per month (18% per annum) on the unpaid balance. Seller reserves the right to require advance payment or satisfactory security before proceeding with any order.

3. Pricing

All prices are subject to change without notice. Quoted prices are valid for thirty (30) days unless otherwise stated in writing.

4. Delivery

Risk of loss passes to Customer upon delivery to carrier or upon Customer's pickup. Delivery dates provided by Seller are estimates only and Seller shall not be liable for delays.

5. Warranty

Seller warrants that Products will conform to Seller's specifications at time of shipment. SELLER MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. THIS DISCLAIMER IS A MATERIAL TERM OF THIS AGREEMENT.

6. Limitation of Liability

In no event shall Seller's liability exceed the purchase price of the specific goods giving rise to the claim. Seller shall not be liable for consequential, incidental, punitive, or special damages of any kind.

7. Returns

Returns are subject to Seller's Return Policy. See our Return Policy page. Seller reserves the right to charge a restocking fee.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles.
